(“Company”), an innovative SME listed on Euronext Growth Milan and specializing in cybersecurity for businesses, and V-Valley, an Esprinet Group company and a leader in Italy and Spain in the distribution of Advanced Solutions, have signed a strategic agreement aimed at strengthening the presence of Cyberoo solutions in the Italian market and accelerating their adoption through the channel.

The agreement is part of the Company’s broader strategy to strengthen its commercial presence. Following the positive results recorded by Cyberoo in fiscal year 2025 in its core cybersecurity business, and with the additional contribution expected in 2026 from the commercial development of KEATRIX, the agreement with V-Valley represents a further boost thanks to the involvement of a leading distributor with a broad and extensive presence throughout the region.

V-Valley, a leading distributor in the Advanced Solutions market, with a focus on promoting high-tech solutions and services, will support Cyberoo not only in distribution but also in developing and strengthening relationships with the channel, helping to make the relationship between the vendor and local partners more structured, effective, and scalable.

The agreement provides for the distribution of Cyberoo’s entire portfolio of services, with a focus on KEATRIX, an innovative security awareness platform for cybersecurity training, based on an edutainment approach that combines education and cinema. In this context, KEATRIX represents a distinctive component of Cyberoo’s offering, designed to complement and strengthen the adoption of the Company’s entire portfolio of cybersecurity solutions.

The parties will jointly develop channel- and market-focused go-to-market initiatives, including training and enablement activities, co-marketing campaigns, regional events, and reseller programs, with the aim of building a robust, sustainable partner ecosystem focused on creating value.

The agreement will involve the entire ecosystem of V-Valley and Esprinet partners and customers in Italy, with the aim of gradually expanding the adoption of Cyberoo solutions throughout the country and with a view to extending the collaboration, in a subsequent phase, to other international markets served by V-Valley, such as Spain.

KEATRIX redefines the concept of security awareness through adaptive artificial intelligence, neuroscientific learning methods, and edutainment content, with the goal of making training more effective, engaging, and easily accessible within organizations.

Since its commercial launch on December 1, 2025, KEATRIX has achieved its first market successes by securing several contracts through regional partners, with implementations primarily in Northern Italy and a growing presence in Central Italy, mainly among mid-size organizations. During the period, 462 customers signed a total of 814 contracts, compared with 328 customers and 607 contracts in 2024 fiscal year.

The above data refer exclusively to Cyberoo S.p.A., excluding other companies in the Group, and pertain solely to the cybersecurity business segment.

It should be noted that the 2025 fiscal year has an exceptional duration of 15 months, compared to the 12 months of the 2024 fiscal year. Accordingly, the commercial data presented above should be interpreted in light of the different reporting periods. Within this context, the growth recorded in both the number of clients and contracts signed nonetheless confirms a positive commercial trend and a strengthening of the Company’s position in its reference market.

This performance reflects the effectiveness of the initiatives undertaken by the Company during the year, including the progressive strengthening of its commercial and distribution capabilities, as part of a strategy aimed at supporting business growth and expanding market penetration.

Reggio Emilia, March 16, 2026 – The Board of Directors of Cyberoo S.p.A. (“Cyberoo” or the “Company”), an innovative SME listed on Euronext Growth Milan and specializing in cybersecurity for businesses, today approved the signing of an agreement to purchase trade receivables owed to Sedoc Digital Group S.r.l. (“SDG”) by third-party customers (“Agreement”). The transaction involves the purchase of a portfolio of trade receivables arising from contractual relationships related to cybersecurity services, for a total nominal value of €5,720,401, in exchange for a consideration of €5,292,764 determined based on the present value of the portfolio under evaluation.

The consideration for the transaction will be settled through a voluntary set-off against receivables already owed to Cyberoo by SDG, thereby reducing the mutual exposure between the parties and simplifying intra-group transactions, in line with the Company’s financial rationalization plan. The receivable owed to Cyberoo by SDG arises from intra-group commercial transactions that have been properly accounted for and are already recorded in the respective balance sheets.

This transaction is part of the Company’s broader strategic plan aimed, on the one hand, at reducing the concentration of credit exposure to SDG and, on the other, at transforming a concentrated exposure into a portfolio of loans spread across a variety of end counterparties, with potential positive effects in terms of diversification, stability, and predictability of cash flows.

From an industrial perspective, the transaction also allows Cyberoo to consolidate cash flows attributable to relationships that are fully aligned with its core business, thereby strengthening the coherence of the Company’s operational scope. Cyberoo also believes that the structure of the transaction is designed to improve the visibility and predictability of expected cash flows, reduce operational complexity in the management of intra-group payments, and improve the quality of working capital.

The signing of the Agreement was approved today by Cyberoo’s Board of Directors in accordance with the procedures set forth in applicable regulations governing related-party transactions. The transaction constitutes a related-party transaction of significant importance to the Company, as SDG indirectly controls Cyberoo through Cyberoo Global S.p.A., which holds 54.43% of the Company’s share capital. Furthermore, SDG directly holds a 4.35% stake in Cyberoo’s share capital.

As part of the due diligence process, specific governance controls were implemented, involving the Related Parties Committee, legal advisors, and an independent party tasked with conducting documentary due diligence on the receivables regarding their existence, enforceability, and collectability, as well as the overall economic reasonableness of the transaction. Following the completion of these activities, the independent advisor issued a report indicating that the receivables are supported by valid contractual documentation, are properly documented and accounted for, and are consistent with the relevant contractual provisions and the payment deadlines specified therein.

The Related Parties Committee has issued a non-binding favorable opinion regarding the Company’s interest in proceeding with the transaction, as well as the economic soundness and substantive fairness of the relevant terms and conditions.

The transaction qualifies as a significant related-party transaction under the applicable rules of Euronext Growth Milan, as its value exceeds the materiality threshold relative to the relevant consolidated equity. The Company will therefore publish the disclosure document within the timeframes set forth in Euronext Growth Milan’s Related-Party Rules.

Reggio Emilia, February 26, 2026 – Cyberoo S.p.A., an innovative SME listed on the Euronext Growth Milan Market, specialized in cybersecurity for businesses, publishes the second edition of the annual report of the Cyberoo Observatory, this year dedicated to the theme “Inside the dark matter of cyberspace.” The document analyzes the main trends and attack patterns that emerged in 2025 and translates the evidence gathered into operational defense strategies for 2026, thanks to data provided by the I-SOC team, an advanced center with over 100 specialists operating in Italy and abroad, which combines 24/7 monitoring and response and Cyber Threat Intelligence, and by the Incident Response Team. The team, composed of ethical hackers and analysts, defends companies from cyber threats by integrating internal sources, such as data from the Cyber Security Suite, and external sources, such as the Surface, Deep, and Dark Web, with the aim of preventing and minimizing the damage of a cyber-attack.

Numbers

Among the most significant data emerging in 2025, Cyberoo reports:

• 320 new threat actors identified, including particularly aggressive ones: Qilin, Akira, Sarcoma, Everest
• Over 1,300 reports to the competent authorities for phishing, antispam, and antifraud by Cyberoo
• The detection of 38,654 suspicious domains
• The identification of over 2,700 unique CVEs associated with monitored suppliers, confirming the criticality of vulnerability management within the supply chain

Trends for 2025

2025 saw an increase in the direct exploitation of vulnerabilities, including zero-day vulnerabilities, and further expansion of the market for stolen credentials.

DDoS attacks, cyberattacks that render servers and websites inaccessible by flooding them with fake traffic from thousands of infected devices, made a comeback as a distraction tool, used to saturate defense systems and facilitate parallel reconnaissance and infiltration activities.

Phishing has evolved significantly, becoming increasingly credible and contextualized thanks to the use of generative AI, with cases of impersonation supported by voice and video deepfakes.

In general, AI-powered attacks represent a growing threat. Looking ahead to 2026 and beyond, the Observatory highlights the increase in AI-enabled threats, which make phishing, impersonation, and the spread of fake news more effective and scalable. The risk associated with credential theft and pressure on cloud and SaaS, which requires continuous monitoring, also remain central issues.

At the same time, supply chain incidents have shown a “chain” dynamic, in which a vulnerability in a supplier or shared component has often resulted in a blow to multiple organizations, extending to the supply chain with forms of pressure such as triple extortion, an advanced cybercriminal tactic and evolution of ransomware, whereby attackers do not just encrypt data, but apply three simultaneous levels of pressure to force victims to pay a ransom for their data.

Distribution of cyber-attacks: affected markets and critical periods

In the sample analyzed for the purposes of drafting the report, the manufacturing sector is the most exposed to cyber-attacks, accounting for 29% of the total examined, also considering the “volume” effect of the sector in the Italian and European markets.

In terms of timing, December is the month most affected by compromises in 2025, coinciding with the Christmas holiday period, when reduced security measures and staffing levels can increase companies’ operational vulnerability.

The challenges of 2026

In light of the data highlighted, the biggest challenge concerns what remains invisible: there is a gap between the perception of security and the real risk to information systems. Cyberoo defines this unobserved area as “cyber dark matter”: it is the combination of unmapped assets and surfaces, incomplete controls, obsolete systems, poor awareness, inadequately managed tokens and APIs, and non-human identities outside the monitoring perimeter.

That is why, among the priority actions recommended for 2026, the first is to strengthen internal governance and accountability, combine training, culture, and awareness with the orchestration of technologies, processes, and human skills, adopt identity-first controls, apply risk-based patch management, and ensure continuous supervision of cloud and SaaS with backups and incident response playbooks. The goal must be to move from reactive security to proactive and strategic defense, especially in larger companies that manage longer supply chains. In addition, it is essential to increase transparency and control over AI: managing artificial intelligence is critical to avoid falling into digital traps.

The Cyberoo Observatory 2026 was created with the aim of increasing awareness and helping to make risk measurable and manageable, increasing visibility and prioritization capabilities, and transforming the evidence gathered into repeatable decisions and actionable strategies to reduce the operational impact of incidents” – said Veronica Leonardi, CMO & Board Member of Cyberoo.

SOURCE: The Observatory is based on the continuous monitoring and analysis of billions of security events detected in 2025 (over 61,000 events per second) through Cyberoo’s proprietary systems and the operation of its MDR (Managed Detection & Response), which includes Cyber Threat Intelligence activities. Thanks to a widespread national distribution network, COMETA becomes the official distributor of Cyberoo’s cybersecurity solutions, with the goal of expanding the base of active resellers, including system integrators, specialized resellers, and value-added partners. Within this model, COMETA takes on a central role not only as a distributor but also as an enabler of industrial relationships with the channel, helping to streamline and enhance the interaction between vendor and partners across the country.
Cyberoo will continue to leverage its established partner network, which will benefit from a more structured commercial and logistical infrastructure, dedicated operational support, and advanced tools for opportunity management.
